The Statute of Azerbaijan Youth Euro-Atlantic Organization (AYEAO)
12.03.2006

1. General Principles.
1.1. Azerbaijan Youth euro-Atlantic Organization (hereinafter Union) is a non-governmental organization acting within the borders of Azerbaijan Republic established with the status of Social union, not having any aims of making income and share of this income among its members, unified for the common goal, established on the basis of voluntary and equality of members.
1.2. The activities of the Union are based on the Constitution of the Azerbaijan Republic, Law of the Azerbaijan Republic on Non-Governmental Organizations (Social Organizations and Funds) as well as the very Statute.
1.3. After being registered in Ministry of Justice of Azerbaijan Republic Union obtains the status of legal person. Union have independent balance, the seal with the name of Union on it, stamp, account number at the banks of Azerbaijan Republic and other requisites.
1.4. Union has the right to sign agreements on its own behalf, may obtain material and non-material rights, may take responsibilities; act as litigant and defendant at the court.

2. Goals and tasks of Union.
2.1. The aim of the Union is to disseminate goals of the Northern Atlantic Treaty Organization among the society. To help Azerbaijan in integration process to the Euro-Atlantic institutions, to improve cultural, educational, social, friendly relations among the Northern Atlantic Treaty Organization member states' youth and to have contributions on strengthening peace and security within the Euro-Atlantic space.
2.2. The tasks of the Union:
- to promote the integration process of Azerbaijan to "Euro-Atlantic"
institutions especially to the Northern Atlantic Treaty Organization;
- to undertake enlightenment activities in the society on the goals and tasks of the Northern Atlantic Treaty Organization;
- to help youth and to equip them with the necessary information;
- to hold symposiums, roundtables, scientific conferences dedicated to the Euro-Atlantic issue;
- to take part in all events that is hold by the similar Euro-Atlantic Youth organizations and to invite their members to the events which is hold in Azerbaijan;
- to share information about realities of Azerbaijan with international society;
- To collect information and implement collected information about the such kind of organizations and to collaborate with them.
2.3. for executing tasks implied in this Statutes the Union is undertaking:
- the creation links with foreign social unions and to corporation with them ;
- to have research, social surveys, to hold symposiums, roundtables, scientific conferences;
- to share information about its activities within the media according to the legislation;
- to take part in the events that is hold by the foreign union and which is not contradict with its own aims and to have an exchange of representatives;
- to execute according the legislation of Azerbaijan Republic.
2.4. for fulfillment of aims and tasks proceeding from this statute the Union may establish commercial organization.
2.5. The Union cannot take part in municipal, parliamental and presidential elections and support political parties.

3. Union estate and financial activity.
3.1. Union estate may include buildings, facilities, flats, equipments, inventor, money resources, shares, other securities as well as estate required for the fulfillment of the aims and tasks defined in this statute, and which is not banned by legislature.
3.2. Union is responsible for its obligations with its estate. Privatization of the estate can be realized only according to the laws of Azerbaijan Republic.
3.3. The financial sources of the Association, in the form of money or in other form, emerge from the following:
- regular or lump sum membership installment of founders or union members;
- voluntary donations and estate prices made by local or international organizations, firms, offices and citizens;
- dividends and benefits came out of shares, bonos, other valuable paper and savings;
- benefits obtained as the result of use and sale own estate;
- grants;
- profit obtained as the result of the work of established enterprises;
- other profits not banned by the legislature.
3.4. Members of the Union haven't any private rights on the objects containing the estate of the Union.
3.5. In compliance with Azerbaijan Republic legislature in accordance with goals and attribute of the Union , it has the right of use, order and asset on its own property.
3.6. The funds with target transferred to Unions Bank Account can't be used on other direction except the targeted.
3.7. In compliance with legislature Union compounds financial, statistic and etc; reports and submits to the governmental institutions.

4. Members and Founders of the Union.
Their rights and duties.

4.1 Persons aged 18 and legal persons (except state and local governing institution) can be the founders of the Union.
4.2. Founders have the equal rights. Legislature, mutual agreement signed between founders of this Statute defines mutual relations, rights and obligations of founders.
4.3. Every private and legal person (except state and local governing institution) can assume membership of Union. Founders of the Union are members of Union.
4.4. Acceptance to the membership is exercised by Executive Committee.
4.5. The person willing to gain Union membership must apply in written to Executive Committee. Application would be reviewed within a month. Applier would gain Union membership if more than fifty (50%) percent of Executive Committee members will positively vote.
4.6 Supreme Body gives a membership certificate to its members.
4.7. Members of Union being equal have got following rights:
- to participate in governing of the Union in compliance with this Statute;
- to elect and be elected to any, at the same time to governing bodies of the Union;
- to participate in all events held by Union;
- to get information on activities of Union governing institutions and to monitor their work;
- apply for a help to the Union for protection of their rights;
- to participate in any discussion concerning his/hers interests, to object and comply to the relevant organizations of Union.
4.8. The member of the Union can't be participant of two different electoral organizations at the same time.
4.9. The representation or declaration on behalf of Union might be realized by the member of Union only in case of entitlement by the relevant body of the Union.
4.10. The Union members have the following tasks:
- to observe the Statute, as well as moral and ethical norms;
- to observe the decision of Union electoral bodies;
- to observe Statutory requirements;
- to participate in the events to held by the Union.
4.11. The amount of membership installment is defined by the Executive Committee.
4.12. The liquidation of membership take place if
- member wills so voluntarily;
- member expelled from membership.
4.13. Union member is expelled from membership if :
- he/she acts shaming;
- he/she avoids participation in the sessions of Union bodies regularly;
- he/she acts in breach of Statute.
4.14. Expulsion from membership or from constitutive status might be implemented by the decision of Executive Body.
4.15. Union member who has been expelled from membership has the right to complain to the General Assembly of the Union and to the Court about the decision of the Executive Committee.

5. The structure and administrational bodies of the Union.
5.1. Supreme body of the Union is General Assembly convened not less that once a year.
5.2. General assembly is convened with the initiative of Executive Committee, of the founders or 3/1 of members'
5.3. Founders and members of Union must be informed about the place and date of forthcoming General assembly session two weeks before.
5.4. The General assembly has the following authorities:
- to adopt the statute of the Union, make changes and additions to it;
- to determine principles of use and formation of Union estate;
- creation of executive bodies of Union and abolishing their authorities before the date;
- to confirm annual reports;
- to be represented in other organizations;
- recreation and abolition of Union activity;
- to receive a report made by the heads of executive bodies of Union.
5.5. General Assembly is authorized only if more than half of members are participated at the session.
5.6. Decision on discussed issues is taken with simple majority of votes. Every member has single vote. 2/3 vote majority is needed for making changes and additions to the Statute and abolition of Union.
5.7. Executive body is leading current work of Union.
5.8. The Executive body of the Union is Executive Committee consist of the Director of Union and his/her Deputies and as well as from other persons.
5.9. Being collegial executive body of Union Executive Committee has the following authorities:
- to accept new members and to exclude member;
- to discuss schedule and annual report of Union and submit it to General Assembly for confirmation;
- to offer projects and proposals;
- to establishes branches and representations of Union;
to take decisions on the issues not comprising exclusive rights of other governing bodies of Union.
5.10. Executive Committee is authorized only if more than half of members are participated at the session and decision on discussed issues is taken with simple majority of votes.
5.11. The head of the General Assembly and his/hers deputies are elected in latent elections in General assembly for two (2) year length.
5.12. The head of the General Assembly:
- to represent the Union, to sign agreements on behalf of the Union, to grant letter of confidence, to observe decisions of General Assembly;
- To conduct tasks imposed on by General assembly and legislature.
5.13. The Monitoring-Inspection Committee (MIC) must observe that the officials of organization and members fulfill his/her tasks and duties in compliance with the Statute, that the distributed funds are allocated and spent properly. The number of MIC is defined by General Assembly for two (2) years. Decision on discussed issues is taken with simple majority of votes.
5.14. MIC must respond to requests of Union bodies and members within a month.

6. Abolishing the activity of the Union.
6.1. Abolition of the Union occurs in case of recreation (incorporation, association, disintegration, divergence, reorganization) and liquidation. Abolishing of the activity of Union takes place in compliance with the legislature.
6.2. In compliance with the decision of Union on abolition the Committee for Liquidation is established. From that moment all authorities concerning Union governance is transferred to the Committee. Abolition Committee compounds abolition balance. While abolition the activity of Union, after budgetary accounts calculated and obligations before creditors fulfilled, remaining estate will be diverted to statutory tasks or to State budget. Liquidation of the Union takes place in compliance with Civil Code of Azerbaijan Republic and other legislative tasks.

7. Other terms.
7.1. Legislature regulates issues not covered in the Statute.
7.2. If the provisions of the Statute contradict to legal norms, legal norm prevail.
